Brachem Acquisition S.C.A. Luxembourg announced today that it has successfully sold 7.0 million shares of its remaining share in Brenntag AG.
Hamburg, February 23, 2012. Brachem Acquisition S.C.A. Luxembourg announced today that it has successfully sold 7.0 million shares of its remaining share in Brenntag AG (ISIN DE000A1DAHH0) (equivalent to c. 13.6% percent of the entire share capital) to institutional investors at € 82.50 through an accelerated bookbuilt offering conducted by Goldman Sachs who acted as Sole Bookrunner. The transaction volume totaled € 577.5 million. Through the sale of 7.0 million shares, Brachem Acquisition S.C.A.’s stake was reduced to c. 13.7 percent.
Brachem Acquisition S.C.A. invested in Brenntag in September 2006, developed it into a global market leader in full line distribution of industrial and specialty chemicals and floated Brenntag in March 2010. Since its initial listing of € 50 per share, the company increased its market value by c. 65 percent.
Funds advised by BC Partners, Bain Capital and Goldman Sachs have bundled their shares in Brenntag AG as part of Brachem Acquisition S.C.A. Luxembourg. Brachem Acquisition S.C.A. entered into a 180 day lock-up.
